This giveaway ("Giveaway") is sponsored by The Pangea Technology Group Inc. ("Pangea" or the "Sponsor").



‍2. Giveaway Overview
‍
The Giveaway will award one (1) randomly selected winner one (1) one-way or round-trip commercial economy flight to the destination of their choice, with the cost of the flight capped at USD $1,000, in accordance with these official Terms and Conditions.



‍3. Giveaway Period
‍
The Giveaway begins on 13 November 2024 at 9:00:01 AM (Eastern Standard Time) and ends on 07 January at 11:59:59 PM (Eastern Standard Time) (the "Giveaway Period"). All entries must be received during the Giveaway Period.



‍4. Eligibility
‍
This Giveaway is open to individuals who meet all of the following criteria:Are 18 years of age or older at the time of entry andAre residents of a country where the Giveaway is legally allowed andHave an Instagram account and access to the App Store or Google Play Store.



‍5. The Pangea App
‍
For the purposes of this Giveaway, “The Pangea App” refers to a mobile application available for download on both the App Store and Google Play Store. The Pangea App is a platform that enables users to share, discover, and organize travel plans and recommendations.

‍Important: To be eligible to win the Giveaway, participants must download, register, and create an active account on the Pangea App available in the App Store or Google Play Store links above.  Note that there are other apps with similar names, but participants who do not register on the correct app will not be eligible to win. No other versions of the app or alternative platforms will count for entry in the Giveaway.



‍6. How to Enter
‍
To enter the Giveaway, participants must complete each of the following steps (“Eligibility Criteria”):

1. Follow Pangea’s official Instagram account (@thepangea.app).
2. Tag at least two (2) friends in the comments of the official Giveaway Post or Pangea Wrapped Post on Pangea’s Instagram page.
3. Share the official Giveaway Post or Pangea Wrapped Post to your Instagram story, tagging @thepangea.app
4. Download The Pangea App for free from the App Store or Google Play Store.
5. Complete all registration steps to create an account.
6. Invite at least two (2) friends to join Pangea by using the unique invite code found in the app upon signup.  At least (2) of these referred users must complete registration for the entry to be valid.  

Users who have downloaded the app and created accounts prior to the Giveaway Period are eligible as long as they complete all other required steps of the Eligibility Criteria within the Giveaway Period. Users who share both the Giveaway Post and the Pangea Wrapped Post and complete all other steps required are eligible for two (2) entires.



‍7. Bonus Entries
‍
Participants can earn bonus entries by referring additional friends to Pangea using their unique invite code. Each friend who signs up with the invite code will count as one (1) bonus entry. You can also receive additional entries by sharing your own 2024 Pangea #WRAPPED from the app to your Instagram story, tagging @thepangea.app. You will receive one (1) entry per Pangea graphic that you add to your story.  There is no limit to the number of bonus entries a participant can earn by referring friends.



‍8. Winner Selection & Notification
‍
One (1) winner will be selected randomly from all eligible entries at the end of the Giveaway Period. The winner will be notified via email using the email address that they use to register for their Pangea account within seven (7) days following the end of the Giveaway Period.  The winner must reply within 72 hours to claim their Prize.  If a winner is unable to be contacted or fails to respond within 72 hours after being notified, an alternate winner may be selected.

Pangea reserves the right to verify all entry requirements, including social media engagement and app registration, before selecting a winner.



‍9. Prize
‍
The winner will receive one (1) one-way or round-trip commercial economy flight to the destination of their choice, with the total price of the flight capped at USD $1,000.  The flight will be booked by the Pangea team factoring in the winner’s requested destination and dates.  Not all destinations or dates may be available within the Price Cap.  Pangea reserves the right to exclude certain dates or destinations at its sole discretion.

- The Prize includes the flight only and does not cover accommodations, meals, fees, insurance, or other travel expenses, including but not limited to incidental fees, baggage fees or any other fees charged by the airline.
- The Prize is non-transferable, and no cash alternative will be offered.
- The winner will not be entitled to any compensation or cash alternative for any unused portion of the flight price cap.

‍Important Terms for the Prize:

- The Prize must be booked within 3 months of notification.  The Prize will expire after this period.
- The Prize is non-refundable and non-transferable. Once booked, any changes to the booking are subject to the policies of the airline, and the responsibility of the Winner to coordinate directly with the airline.  Pangea will not assist with any flight related changes.  



‍10. Travel Requirements
‍
The winner is responsible for ensuring all travel documentation is in order, including but not limited to any fees for obtaining a valid passport and any necessary visas.



‍11. Publicity
‍
‍By entering this Giveaway, the winner agrees to allow Pangea to use their name, likeness, and/or Instagram handle for promotional purposes without compensation, unless prohibited by law. The winner also agrees to participate in reasonable promotional activities related to the Giveaway, including, but not limited to social media posts.  At a minimum, the winner must post (i) their Profile Summary Infographic and (2) Trip Infographic for the trip they take as part of the Prize to their Instagram Story for the full durration of 24 hours along with approved text provided by Pangea.



‍12. Liability Disclaimer
‍
‍Pangea is not responsible for any technical or human error that may occur in the administration of the Giveaway or the processing of entries.

By entering this Giveaway and accepting the Prize, the winner agrees that Pangea Technology Group Inc. ("Pangea") and its affiliates, agents, and employees are not responsible for any damages, losses, or injuries sustained by the winner or any other person in connection with the acceptance, use, or misuse of the Prize, including but not limited to any travel-related issues (such as cancellations, delays, or lost baggage), whether caused by negligence or otherwise.  

Pangea is not liable for any travel restrictions, flight cancellations, delays, or other related travel complications that may affect the winner’s ability to redeem or use the flight Prize.
The winner is solely responsible for ensuring they have all required travel documents (e.g., passport, visa) and for complying with any travel-related restrictions or regulations.

Pangea does not assume any responsibility for any loss, damage, injury, or other liability arising from the winner's use or inability to use the Prize or any travel-related issues encountered.

Pangea reserves the right to cancel or modify the Giveaway in the event of unforeseen circumstances, including but not limited to fraud, technical failures, or other factors that impair the integrity of the Giveaway, and will not be liable for any related consequences.



‍13. Taxes and Fees

‍The winner is solely responsible for any and all taxes, fees, or other charges associated with the receipt and use of the Prize, including but not limited to income taxes, customs duties, or any other applicable taxes that may apply. Pangea will not be responsible for any tax obligations or reporting requirements related to the Prize.
By accepting the Prize, the winner agrees to fully indemnify and hold harmless Pangea Technology Group Inc. from any tax-related liabilities or expenses resulting from the acceptance or use of the Prize.
If required by law, Pangea reserves the right to report the value of the Prize to the appropriate tax authorities.



‍14. Disqualification and Eligibility Determinations
‍
All eligibility and Prize determinations are at the sole discretion of Pangea Technology Group Inc. ("Pangea"). Pangea reserves the right to disqualify any participant at any time and for any reason, including but not limited to violations of these Terms and Conditions, fraudulent activity, or any behavior deemed inappropriate or inconsistent with the spirit of the Giveaway.
Pangea has the sole discretion to determine whether any entry meets the requirements for eligibility, and whether any participant or entry should be disqualified. This includes, but is not limited to, instances of multiple entries, use of fake or misleading information, manipulation of the Giveaway process, or any other actions that Pangea deems unfair or inappropriate.
By entering the Giveaway, participants acknowledge and agree that Pangea’s decisions are final and binding in all matters related to the Giveaway.



‍15. General Terms

- This Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law.
- This Giveaway is in no way sponsored, endorsed, or administered by Instagram.
- Pangea is not responsible for any technical failures, lost or delayed entries, or any errors in the Giveaway process.
- Pangea reserves the right to modify, suspend, or cancel the Giveaway at any time without notice.
- If a winner is unable to be contacted or fails to respond within 72 hours after being notified, an alternate winner may be selected.



‍16. Privacy
‍
By entering this Giveaway, participants consent to the collection, processing, and use of their personal information as described in Pangea’s privacy policy, which can be found at https://www.pangeatech.io/privacy-policy. Participants' personal information will not be shared with third parties except as necessary for the administration of the Giveaway, such as flight booking or Prize fulfillment.



‍17. Governing Law and Forum Selection
‍
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
‍
Any dispute, claim, or controversy arising out of or relating to this Giveaway or these Terms and Conditions, including but not limited to the breach, termination, or validity thereof, shall be exclusively brought in the state or federal courts located in Wilmington, Delaware. By entering the Giveaway, participants consent to the exclusive jurisdiction of those courts and waive any objections to such venue or jurisdiction, including objections based on convenience.

‍By entering the Giveaway, participants acknowledge that they have read, understood, and agree to be bound by these Terms & Conditions.
